Client Refund & Service Guarantee Policy

OUR COMMITMENT TO QUALITY

Northmark is committed to delivering professional sales capability development services of the highest quality. This Refund Policy explains our approach to refunds, service guarantees, and your rights as a client.

GENERAL REFUND POLICY

All sales are final. Northmark does not offer monetary refunds for Services — including training programmes, coaching sessions, workshops, digital materials, or subscriptions — except:

  • Where expressly required by applicable law

  • As provided in the Service Guarantee (Make-Good Remedy) below

  • Where Northmark cancels services without cause prior to delivery

WHY THIS POLICY EXISTS

Northmark's Services involve:

  • Reserved facilitator and coaching capacity allocated in advance

  • Proprietary content and materials made available upon enrolment

  • Significant preparation and customisation for each engagement

  • Intellectual capital and expertise delivered immediately upon access

Once purchased, value is delivered through reserved professional time, access to materials, and preparation for your specific requirements.

NORTHMARK SERVICE GUARANTEE (MAKE-GOOD REMEDY)

What We Guarantee

We guarantee:

  • Delivery of services materially as described in your Order or programme description

  • Professional facilitation and coaching meeting industry standards

  • Content quality consistent with Northmark's published methodology

How to Request a Service Review

If you believe Northmark has not met the above standards, you must:

  • Notify us in writing within 14 days of the relevant session or deliverable

  • Email: admin@northmark.net

  • Include: your name and order/enrolment information; the specific session or deliverable in question; a detailed description of the deficiency; what you expected vs. what was delivered

Our Make-Good Remedies

Northmark will review your claim in good faith. If validated, we will provide one of the following remedies at Northmark's election:

  • Option 1 — Re-Performance: Re-deliver the session or deliverable at no additional charge.

  • Option 2 — Replacement: Substitute a materially equivalent session or deliverable.

  • Option 3 — Service Credit: Provide a non-cash, non-transferable credit toward future Northmark services, up to the fees paid for the deficient portion.

This remedy process is your exclusive remedy for service-quality concerns, except where prohibited by mandatory consumer protection law.

NORTHMARK-INITIATED CANCELLATION

If Northmark cancels a confirmed engagement without cause and cannot reschedule within 30 days, you are entitled to a pro-rata refund of fees paid for the undelivered portion of services.

CLIENT TERMINATION FOR CONVENIENCE

For Ongoing Engagements (B2B Clients)

Business clients may terminate an ongoing engagement for convenience with 30 days' written notice. Upon termination: (a) you owe fees for all services delivered to date and for any non-cancellable costs Northmark has already incurred; (b) pre-paid fees for undelivered services will be credited as a non-cash, non-transferable service credit toward future Northmark services.

For Individual Consumers (B2C Clients)

Individual consumers who terminate for convenience may receive a service credit toward future services, or a refund to the original payment method at Northmark's discretion for demonstrated financial hardship.

SUBSCRIPTION AND AUTO-RENEWAL PROGRAMMES

Auto-Renewal Disclosure

If you enrol in a subscription, retainer, or automatically renewing programme ("Recurring Programme"), the following terms apply:

  • Your Recurring Programme will automatically renew at the end of each period (monthly, quarterly, or annually as stated at enrolment)

  • The renewal frequency and fees for each renewal cycle are clearly stated in your Order and/or checkout page before purchase

  • You will receive a renewal reminder at least 7 days before each monthly/quarterly renewal or 30 days before each annual renewal at the email address on file

Submit a cancellation request through your client account dashboard (where applicable)

Cancellation must be received at least 3 business days before your renewal date to be effective for the upcoming period. Cancellation is as easy as sign-up — we do not make cancellation unreasonably difficult. Following cancellation, you retain access through the end of your current paid period. No refund is issued for partial periods except where required by law.

For California residents: these auto-renewal terms comply with California's Automatic Renewal Law (Business & Professions Code § 17600 et seq.) as amended effective July 1, 2025. You may cancel at any time using the methods described above.

RESCHEDULING POLICY

Client-Requested Rescheduling

Because Northmark allocates facilitator and coaching capacity in advance, the following rescheduling policy applies:

Outcome

14+ days - Rescheduling permitted without fee, subject to availability

7–13 days - Rescheduling fee of 25% of the affected session fee applies

< 7 days / No-show - Session treated as delivered — forfeited with no credit or refund

Northmark may waive rescheduling fees in documented emergency circumstances at our reasonable discretion.

Northmark-Requested Rescheduling

If Northmark must reschedule due to facilitator illness, travel disruption, or other cause beyond our control: we will provide prompt written notice and offer alternative dates. Remote delivery may be substituted for on-site delivery where feasible. If rescheduling is not possible within 30 days, you are entitled to a pro-rata refund.

CONSUMER RIGHTS (B2C/B2I INDIVIDUAL CLIENTS)

Your Mandatory Rights Are Protected

Nothing in this Refund Policy limits any mandatory refund, cancellation, or cooling-off rights you may have under the laws of your state of residence that cannot be waived by contract.

State-Specific Rights

  • New York Residents: General Business Law § 396 governs refund disclosures. General Business Law § 349 prohibits deceptive business practices.

  • California Residents: You have the right to cancel certain service contracts within 3 business days of signing (Business & Professions Code § 17538.9 and Civil Code § 1689.5 et seq.). Automatic Renewal Law (Business & Professions Code § 17600 et seq.) governs subscription cancellations.

  • All States: Where applicable law grants you stronger protections, those statutory rights prevail.

PAYMENT DISPUTES AND CHARGEBACKS

Before initiating a chargeback or payment dispute with your financial institution, please:

  • Contact us at support@northmark.net

  • Provide 10 business days to attempt resolution

  • We are committed to working with you to resolve billing concerns

Important: Chargebacks not supported by good faith dispute may result in immediate suspension of services. However, nothing in this section limits your statutory chargeback rights as an individual consumer.

WHAT THIS POLICY DOES NOT COVER

Northmark does not guarantee or refund for:

  • Employment outcomes: Job placement, hiring, promotion, or career advancement

  • Revenue results: Quota attainment, sales performance, revenue growth

  • Individual performance: Personal results that depend on individual effort, market conditions, or factors beyond Northmark's control

  • Subjective dissatisfaction: General dissatisfaction without a specific, verifiable service deficiency

Our services provide professional capability development. Results depend on organisational implementation, manager accountability, and consistent application of trained skills.

UPDATES TO THIS POLICY

Northmark may update this Refund Policy periodically. For material changes: we will provide at least 14 days' advance notice; the updated policy will be posted at northmark.net/refund-policy; and email notice will be sent to the address on file. For individual consumers, material changes will not apply retroactively to services already purchased.

LEGAL COMPLIANCE

This Refund Policy complies with the FTC Negative Option Rule (16 C.F.R. Part 425); state automatic renewal laws (CA, NY, IL, VA, CO, and other applicable states); consumer protection statutes (New York General Business Law § 349, California Consumer Legal Remedies Act, and equivalent state laws); and the Federal ESIGN Act and state UETA laws governing electronic transactions.
