Agreement to Terms

  • We reserve the right to suspend or terminate accounts that violate these Terms

Services and Training Programmes

Nature of Services

Northmark provides professional sales capability training and related services. Our Services include:

  • Professional training programmes for organizations (B2B and B2C)

  • Industry-ready training programmes for individuals

  • Assessment and evaluation services

  • Consulting and advisory services related to sales capability

No Guarantee of Outcomes

IMPORTANT: Northmark guarantees the professional quality and delivery of our services only.

We do not guarantee:

  • Employment outcomes

  • Income generation

  • Revenue increases

  • Specific performance results

  • Business success

  • Career advancement

Outcomes depend on individual execution, organizational commitment, market conditions, and factors beyond our control.

Application and Acceptance

Application to our training programmes does not guarantee acceptance. We reserve the right to:

  • Assess applications for suitability

  • Accept or decline applicants at our discretion

  • Require additional information or interviews

  • Limit programme enrollment

Acceptance decisions are final and are not subject to appeal.

Programme Participation

Participants in Northmark programmes agree to:

  • Attend scheduled sessions and complete required activities

  • Engage professionally and constructively

  • Accept coaching and feedback

  • Maintain confidentiality of programme materials and participant information

  • Comply with programme standards and expectations

We reserve the right to remove participants who:

  • Violate programme standards or expectations

  • Engage in disruptive, disrespectful, or unprofessional behavior

  • Fail to meet participation requirements

  • Provide false or misleading information

Removal from a programme does not entitle you to a refund unless specifically stated in your service agreement.

Intellectual Property Rights

Ownership

All content on our website and in our Services, including but not limited to:

  • Text, graphics, logos, images, and design

  • Software, code, and functionality

  • Training materials, frameworks, and methodologies

  • Trademarks, service marks, and brand names

is the exclusive property of Northmark or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use our website for lawful purposes consistent with these Terms

  • View and download materials provided as part of an authorized engagement

This license does not include the right to:

  • Reproduce, distribute, or publicly display our content

  • Create derivative works

  • Use our content for commercial purposes without written permission

  • Remove proprietary notices

Programme Materials

Materials provided during training programmes are for your personal or internal organizational use only. You may not:

No Confidential Submissions

Do not submit confidential or proprietary information through public inquiry forms. If you need to share sensitive information, contact us to establish appropriate confidentiality protections.

Payment Terms

Fees

Fees for Services are specified in your service agreement or programme enrollment documentation.

Payment Obligations

You agree to:

  • Pay all fees according to the payment schedule provided

  • Provide accurate billing information

  • Notify us of any billing disputes within 30 days

  • Pay applicable taxes and transaction fees

No Refund Policy

Unless otherwise specified in your service agreement:

Fees paid for Services are non-refundable. This includes but is not limited to:

  • Application fees

  • Programme enrollment fees

  • Training fees

  • Consulting fees

We do not provide refunds for:

  • Withdrawal from programmes

  • Failure to attend scheduled sessions

  • Dissatisfaction with outcomes

  • Change of circumstances

Late Payment

Late payment may result in:

  • Late fees as specified in your agreement

  • Termination of Services

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHMARK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

1. INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES

2. LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR DATA

3. DAMAGES ARISING FROM:

  • Use or inability to use our Services

  • Reliance on content or information provided

  • Unauthorized access to your information

  • Third-party conduct or content

  • Any claim related to employment outcomes, career advancement, or business results

4. TOTAL LIABILITY

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO NORTHMARK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $500, WHICHEVER IS LESS.

Exceptions

Some jurisdictions do not allow certain limitations on warranties or liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Northmark, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising out of or related to:

  • Your use of our Services

  • Your violation of these Terms

  • Your violation of any third-party rights

  • Your violation of applicable laws or regulations

  • Information or content you submit

  • Your participation in training programmes

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

Termination

Termination by Northmark

We may suspend or terminate your access to our Services at any time, without notice, for:

  • Violation of these Terms

  • Fraudulent, abusive, or illegal activity

  • Non-payment of fees

  • Any reason at our discretion

Termination by You

You may discontinue use of our Services at any time. However, termination does not:

  • Entitle you to a refund of fees paid

  • Release you from payment obligations

  • Terminate provisions of these Terms that by their nature should survive

Effect of Termination

Upon termination:

  • Your right to access and use our Services immediately ceases

  • You must cease all use of our materials and content

  • We may delete your account and information

  • Outstanding payment obligations remain in effect

  • Provisions regarding intellectual property, disclaimers, limitation of liability, and indemnification survive

Confidentiality

Our Confidentiality Obligations

During service delivery, we may have access to your confidential business information. We agree to:

  • Maintain appropriate confidentiality protections

  • Use confidential information only for authorized purposes

  • Not disclose confidential information to unauthorized third parties

Confidentiality obligations do not apply to information that:

  • Is publicly available

  • Was already in our possession

  • Is independently developed

  • Is required to be disclosed by law

Your Confidentiality Obligations

You agree to maintain the confidentiality of:

  • Programme materials and methodologies

  • Other participants' information (in group programmes)

  • Proprietary business information shared during services

Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of New York State, United States, without regard to conflict of law principles.

Jurisdiction and Venue

You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the state or federal courts located in New York State. You consent to the personal jurisdiction of these courts.

Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt informal resolution of any dispute.

Arbitration (Optional - Select One)

Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in [Location]. The arbitrator's award shall be final and binding.

Disputes may be resolved through litigation in the courts specified above.

Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Time Limitation

You must bring any claim arising from these Terms within one (1) year of the date the cause of action arose, or the claim is permanently barred.

Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Northmark regarding our Services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms without restriction.

No Agency

These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Northmark.

Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, governmental actions, or technical failures.

Notices to you may be provided via:

  • Posting on our website

  • Mail to your address on file

Survival

Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination of these Terms.

Specific Service Terms

For Organizational Services (B2B/B2C)

When engaging Northmark for organizational services, additional terms may apply as specified in your service agreement, including:

  • Scope of services

  • Deliverables and timelines

  • Fees and payment terms

  • Confidentiality provisions

  • Termination conditions

For Individual Training Programmes (B2I)

Participants in individual training programmes acknowledge:

  • No Employment Guarantee: Programme completion does not guarantee employment

  • No Income Guarantee: Training does not guarantee income or earning potential

  • No Certification: Programme completion is not professional certification or licensing

  • Employer Independence: Northmark is not responsible for employer hiring decisions

  • Individual Responsibility: You are responsible for your own career development and job search

Assessment and Evaluation

When you participate in assessments:

  • Results are confidential between you and Northmark (unless otherwise agreed)

  • Assessments evaluate readiness and execution, not personality or potential

  • Assessment results may be shared with employers only with your explicit written consent

  • We reserve the right to use anonymized assessment data for quality improvement
